LEAD: The Enserch Corporation, based in Dallas, said it was delaying its previously announced shareholder-rights offering of its Pool Energy Service Company subsidiary to allow for talks with a potential buyer. The price of the offering was to have been set today. Under the tentative arrangements being discussed, Enserch said, the company would eliminate several contingent financial commitments required under the proposed public offering.

LEAD: The Coastal Corporation said it would not raise its $42-a-share cash tender offer for the Texas Eastern Corporation in the face of a $53-a-share offer from the Panhandle Eastern Corporation. The Houston-based energy company also said it might sell some or all of its stake of almost 2.5 million shares in Texas Eastern.
