Oklahoma Bombing Case To Be Moved to Colorado

Citing extensive publicity that had "demonized" the two men charged with bombing the Federal Building in Oklahoma City, a Federal judge has ruled that the accused could not get a fair trial anywhere in the state of Oklahoma and ordered the case moved to Denver. In a statement issued yesterday, the Justice Department said the Government could not appeal the decision -- one of the rare occasions when a Federal trial has been moved outside the state in which the crime was committed. Although no trial date has been set, the department said, "We are prepared to go forward expeditiously."

4Health Inc. said yesterday that it would merge with Surgical Technologies Inc. in a "reverse acquisition" that would allow shares of closely held 4Health to trade publicly. The companies valued the transaction at $36 million. Surgical Technologies will buy 4Health, which will then assume control of the merged company. 4Health, based in Boulder, Colo., makes Nature's Secret and Harmony Formulas nutritional supplements. Surgical Technologies, based in Salt Lake City, will issue nine million shares for 4Health shareholders. Its stock will be split 1 for 2 after the transaction is completed, leaving Surgical Technologies shareholders with 2.25 million 4Health shares, or 20 percent of stock outstanding.

COMPANY NEWS;PUBLIC OFFERING PLANNED FOR PLANET HOLLYWOOD

Planet Hollywood International Inc. registered yesterday with the Securities and Exchange Commission for a initial public offering of common shares. The restaurant chain, based in Orlando, Fla., estimated that the offering would raise up to $190.5 million. The company said it planned to use $130.8 million of the net proceeds to pay debt and the rest for general corporate purposes, including new restaurants. Planet Hollywood has 22 company-owned and six franchised restaurants in eight countries. Some of Hollywood's biggest stars, including Arnold Schwarzenegger, Sylvester Stallone, Bruce Willis, Demi Moore and Whoopi Goldberg, are shareholders.

Textron Inc. said yesterday that it would buy Valois Industries of France for cash and assumed debt, continuing a plan to build its fastener business through acquisitions. Textron declined to provide terms of the deal, but Les Echos, a French newspaper, reported that Textron would pay about 1.25 billion francs, or $250 million. Valois, a Paris-based maker of engineered fastening systems for automobiles, electronics and household appliances, had sales of $435 million in 1995. The acquisition will raise Textron's fastener-business revenue to $1.5 billion this year, from $1 billion in 1995, the company said.

COMPANY NEWS;UNOCAL TO SELL OIL AND GAS FIELDS IN CALIFORNIA

In a continuing trend by major oil companies to sell off domestic assets to finance exploration overseas, Unocal said yesterday that it was selling its oil and gas fields in California for $500 million to the Nuevo Energy Company of Houston. John J. Myers, an analyst at Morgan Keegan & Company of Austin, Tex., said the acquisition would triple Nuevo's oil and gas reserves and thrust the company, formed in 1990, into the ranks of one of the midsized independents. Such independents often cut staff and salaries, contract out much of the operations and call in their own technical experts. Nuevo's shares rose 87.5 cents yesterday, to $23.625, on the Big Board; Unocal shares fell 25 cents, to $30.875. The sale was negotiated by Torch Energy Advisors Inc., which will operate the fields for Nuevo. The fields involved belong to a Unocal subsidiary, the Union Oil Company of California.

SunAmerica Inc. said yesterday that its SunAmerica Life Insurance unit had agreed to buy the $950 million annuity portfolio of the Central National Life Insurance Company of Omaha, a unit of the Beneficial Corporation. The purchase price was not disclosed. Central National will transfer about 45,000 single- and flexible-premium fixed annuity contracts, held mainly in New Jersey, Pennsylvania and North Carolina. The purchase, along with other recently announced acquisitions, will add about $4.5 billion in assets to Los Angeles-based SunAmerica, bringing its total assets to nearly $34 billion.

COMPANY NEWS;ORACLE AND VERIFONE TO PURSUE ON-LINE PAYMENT SYSTEM

The Oracle Corporation, the giant data base software developer, and Verifone Inc., the largest developer of credit-card verification systems, will announce an alliance today to create a secure payment system for consumers and businesses on the Internet. The system will combine Oracle's Webserver software with Verifone's secure payment software to give merchants, banks and other financial providers an on-line payment system. The companies will also incorporate the Verifone Pay Window software into Oracle's Power Browser, its free browser for surfing the Internet's World Wide Web. Verifone's Pay Window software will provide transaction options and make the Power Browser easier to use.
